Memorandum of Association Instructions
Do not send this form to Companies House. This is an instruction sheet and for information only.
Under the Companies Act 2006 the memorandum of association has been simplified to make forming a company easier. The memorandum now simply states that you wish to form a company and indicates how many shares will be issued at the time of incorporation.
HOW TO COMPLETE THE MEMORANDUM
1. In the memorandum complete all of the fields as indicated in blue
a) Enter the Company Name at the top of Memorandum of Association
b) Enter the details of the name of the shareholders and the number of shares that they will be issued with. You can enter as many shareholders as required. Every company must have at least one shareholder.
2. Print the Memorandum of Association. All shareholders should now sign the document.
The memorandum can now be sent to Companies House with Form IN01 duly completed to get your company formed.
